Target Bonus

Target Bonus. Shall mean a bonus to be paid annually by the Company under its Target Bonus Program which shall be the product of a specified percentage, as determined in the sole discretion of the Board pursuant to the terms of the Target Bonus Program, multiplied by the Base Salary paid during the relevant performance period, and as otherwise declared and authorized by the Compensation Committee.

Target Bonus. Shall mean the full amount of target annual incentive bonus that would be payable to the Employee, assuming the target performance criteria on which such annual incentive bonus were deemed to be satisfied, in respect of services for the calendar year in which the date in question occurs. -3-

Target Bonus. - The targeted amount of Bonus Award established for each Eligible Employee, expressed as a percentage of the Eligible Employee's Base Salary corresponding to -4- the Eligible Employee's position or personal grade level at the end of the applicable Incentive Year, assuming the Growth Goals for such Incentive Year are achieved at the 100% level established by the Committee.

Target Bonus. Means, with respect to any year, the target amount of the annual bonus payable to the Employee with respect to that year, whether under an employment or incentive agreement, under any bonus plan or policy of the Company, or otherwise, and whether or not all applicable performance goals have been met and conditions to the payment of such bonus have been satisfied.

Target Bonus. Shall mean the variable annual compensation represented by the percentage of Base Salary Employee is eligible to receive, if any, prior to a Change of Control, in the event targeted goals are achieved for the year. Employee acknowledges that there is no Target Bonus established for Employee at the date of this Agreement, but that he is eligible for a Target Bonus for Fiscal 2010 and thereafter in accordance with the terms and conditions of the Employment Agreement. 2

Target Bonus. The total incentive compensation payable under this Plan to a Participant assuming 100% performance achievement for the Performance Period, as determined by the Administrator in accordance with Section 3(b).

Target Bonus. The incentive compensation that the Board or the duly authorized Committee set or approved, that the Corporation has targeted to pay the Executive if the Executive, the Corporation or a Subsidiary achieves certain specified objectives that the Board or the duly authorized Committee has outlined or approved. Target Bonus. The amount of Executive's target annual incentive bonus compensation for the fiscal year in which the date of a termination of employment under circumstances described in section 9.1 below occurs, under the incentive bonus compensation plan maintained by the Company for such year; provided, however, that such amount shall in no event be less than the highest amount in effect for Executive at any time during the Period of Employment

Target Bonus. The bonus payable to a Participant if there is a 100-percent Performance Adjustment for each Performance Criteria

Target Bonus. Shall mean the Performance Shares payable to the Employee upon the achievement of the Target Bonus Target as set forth in the individual Award Certificate issued by the Committee to the Employee.
