Target Bonus

Target Bonus. Shall mean the Covered Executive's target annual cash incentive compensation at the higher of (i) the rate in effect for the year in which the Qualified Termination occurs (prior to any reduction that constituted "Good Reason") or (ii) at the rate in effect immediately prior to the Change in Control (if applicable).

Target Bonus. Means the amount obtained by multiplying the Covered Employee's target bonus percentage as established and in effect for the Covered Employee (i) on the Reference Date, or (ii) on the date of the Covered Employee's termination of employment with his or her Employer, whichever is the highest, by the Covered Employee's Base Salary.

Target Bonus. The full amount of the Executive's maximum potential annual (or annualized) bonus promised to him under the Company's bonus or similar incentive plan for the year in which occurs the Effective Date, or, if the Executive's maximum potential annual (or annualized) bonus was increased subsequent to such year and before the Executive's termination of employment, the full amount of such increased maximum potential bonus.

Target Bonus. Means the target percentage of Executive's Base Salary payable to Executive under the compensation plan for senior management agreed to by the Company and the surviving entity that are parties to a definitive agreement that contemplates a Change in Control.

Target Bonus. For all purposes of this Agreement, "Target Bonus" shall mean the Employee's target bonus under the Company's annual bonus program, or any comparable bonus under any predecessor or successor plan for the year prior to the year in which the Change in Control occurs.

Target Bonus. For an Eligible Employee shall mean for 2008 the amount or percentage of salary set forth next to the name of such Eligible Employee on Schedule A-2 and for 2009 shall mean the target bonus established for such Eligible Employee for 2009, but not less than the amount or percentage of salary determined in the ordinary course consistent with the Company's past practice.

Target Bonus. Means that bonus, expressed as a Bonus Percentage of Salary, to which a Manager shall be entitled for a Plan Year during which the Manager is continuously employed by the Company on a full-time basis and achieves 100% of his or her annual financial and qualitative objectives.

Target Bonus. The Participant's target annual bonus pursuant to any annual bonus or incentive plan maintained by the Company or its subsidiaries in respect of the fiscal year in which the Change in Control is consummated.

Target Bonus. : means the greater of the potential bonus amount defined in the Company's management incentive compensation plan at the time of a Change of Control Termination (as defined in Section 2 below) or the potential bonus amount or other financial incentive amount defined in any such management incentive compensation plan applicable to the Employee during the twelve month period preceding a Change of Control. For employees who earn sales commissions, Target Bonus shall be deemed to equal the average... annualized (for any fiscal year consisting of less than twelve months or with respect to which the Employee has been employed by the Company for less than twelve full months) commission paid or payable to the employee by the Company in respect to the lesser of the three fiscal years immediately preceding the Change of Control, or the number of fiscal years in which the Company has instituted a commission plan or the number of full fiscal years for which the Employee has been employed by the Company immediately preceding the fiscal year in which the Change of Control Termination occurs.
