Disability. Employee's inability to perform Employee's duties with the Company for one hundred twenty (120) days or more (cumulative or consecutive) within any twelve (12) month period as a result of Employee's physical or mental condition, subject to documentation by a medical expert appointed by mutual agreement between the Company and Employee who has examined Employee.

Disability. Unless the applicable Award Agreement says otherwise, permanent and total disability as defined in Section 22(e)(3) of the Code.
