Disability. A condition for which benefits are payable to Executive under any long-term disability insurance coverage then provided to Executive by the Successor Company or the Bank; or, if no such coverage is then being provided, the inability of Executive, as reasonably determined by the Successor Company or the Bank, to perform the essential functions of his regular duties and responsibilities, with or without reasonable accommodation, due to a medically determinable physical or mental illness which has... lasted (or can reasonably be expected to last) for (A) 120 days out of any 300-day period or (B) a period of 100 consecutive days. Disability. The Executive is unable to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment that can be expected to result in death or can be expected to last for a continuous period of not less than 12 months. Disability. Means that the Executive has been unable to perform his duties, with reasonable accommodation, for at least ninety (90) days on account of an injury or a physical or mental illness and in the opinion of a physician acceptable to the Board, such condition prevents the Executive from resuming full performance of his duties and is likely to continue for an indefinite period.

Disability. Any physical or mental incapacity which prevents Executive from carrying out all or substantially all of his duties under this Agreement for any period of one hundred eighty (180) consecutive days or any aggregate period of eight (8) months in any twelve-month (12) period, as determined by a majority of the members of the Board (but, for the sake of clarity, excluding Executive) in their sole discretion.

Disability. Means incapacity due to illness or other physical or mental disability of the Executive, resulting in the Executive's inability to perform the essential functions of the position, with or without reasonable accommodations for more than 180 calendar days in the aggregate during any 365-day period. Any uncertainty or dispute regarding the existence of a Disability will be determined by the Compensation Committee of the Board
