Disability

Disability. Permanent and Total Disability whereby the Participant is entitled to long-term disability benefits under the applicable group long-term disability plan of the Company or a subsidiary, or, to the extent not eligible to participate in any Company-sponsored plan, under the guidelines of the Social Security Administration

Disability. Shall mean a mental or physical disability, illness or injury, evidenced by medical reports from a duly qualified medical practitioner, which renders an Eligible Executive unable to perform any one or more of the essential duties of his or her position after the provision of reasonable accommodation, if applicable, for a period of greater than ninety (90) days within a one year period. "Disabled" has a corresponding meaning.

Disability. Shall have the meanings given to such terms in Executive's Amended and Restated Change in Control Severance Agreement dated as of August 3, 2011 (the "CIC Agreement")

Disability. Shall mean Executive's inability through physical or mental illness or other cause to perform any of the material duties assigned to him by the Company for a period of ninety (90) days or more within any twelve consecutive calendar months.

Disability. Such disability (whether physical or mental impairment) which totally and permanently incapacitates Employee from any gainful employment in any field which Employee is suited by education, training, or experience, as determined by the Committee in its sole and absolute discretion.

Disability. Shall have the meaning given such term in any employment agreement between the Eligible Individual and the Company; provided, however, that if there is no existing employment agreement between the Eligible Individual and the Company, the term "Disability" shall mean the Eligible Individual's inability to perform the essential functions of his or her position with or without reasonable accommodation, if required by law, due to physical or mental impairment.
