Disability

Disability. Any physical or mental condition that would qualify a Participant for a disability benefit under any long-term disability plan maintained by any Company and applicable to the Participant.

Disability. Any condition that would qualify for a benefit under any group long-term disability plan maintained by the Firm and applicable to you

Disability. The Executive's inability to substantially perform the Executive's duties as required by the Executive's employment with or services to the Company as the result of the Executive's incapacity due to physical or mental illness.

Disability. Means total and permanent disability as defined in Section 22(e)(3) of the Code. Notwithstanding the foregoing, for any Options that constitute a nonqualified deferred compensation plan within the meaning of Section 409A(d) of the Code, "Disability" has the meaning given such term in Section 409A of the Code.

Disability. Your inability to perform substantially all the duties of your position as a director of the Company by reason of any medically determinable physical or mental impairment which is expected to be permanent and continues for more than 180 days. The Committee may require such proof of Disability as the Committee in its sole discretion deems appropriate and the Committee's determination as to whether you are disabled shall be conclusive, final and binding on all parties concerned.

Disability. Shall mean permanently disabled (completely unable to perform Participant's duties as defined in the benefit plans of the Company).

Disability. A disability entitling the Participant to long-term disability benefits under the Company's long-term disability plan as in effect at the date of Participant's termination of employment. 409A Disability has the meaning defined in Section 13(b)(ii).

Disability. Leaving active employment and qualifying for and receiving disability benefits under the Company's long-term disability plan as in effect from time to time.

Disability. Shall mean a permanent disability that would make the Participant eligible for benefits under the long-term disability program maintained by the Company or any of its Affiliates (without regard to any time period during which the disability condition must exist) or in the absence of any such program, such meaning as the Committee shall determine.

Disability. Except as otherwise provided by the Committee, the Participant shall be considered to have a "Disability" during the period in which the Participant is considered to be "disabled" as that term is defined in the Company's long term disability plan.
