Disability

Disability. Means if, as a direct result of an illness or injury, Mr. Chabraja is unable, in the sole opinion of the Compensation Committee of the Corporation's Board of Directors, to adequately perform the tasks of his position for the entire balance of his Employment Agreement.

Disability. The Participant becomes disabled and qualifies, or would have qualified, to receive disability benefits pursuant to the Company's long-term disability plan in effect, provided the Participant is eligible to participate in such long-term disability plan (regardless of whether or not the Participant has elected to participate in such long-term disability plan)

Disability. Either (i) 'total disability' as defined for purposes of the Corporation's long-term disability benefit plan; or (ii) the Executive's inability, as a result of physical or mental incapacity, to perform the Executive's duties for a period of six consecutive months or for an aggregate of six months in any twelve consecutive month period

Disability. The Participant becomes physically or mentally incapacitated and is therefore unable for a period of six consecutive months or for an aggregate of nine months in any 24 consecutive month period to perform Participant's duties.

Disability. Shall mean a disability which would entitle the Executive to receive full long-term disability benefits under the Corporation's long-term disability plan on terms substantially similar to those of the long-term disability plan as in effect on the Effective Date

Disability. Means "disability" as that term is defined for purposes of the Company's Long Term Disability Plan or other similar successor plan applicable to employees.

Disability. Means a physical or mental disability or infirmity that prevents the performance by you of your duties in the course of your service on the Board lasting (or likely to last) for a continuous period of six months or longer. The determination of the existence of Disability shall be made by the Committee in good faith, and the Committee's determination shall be conclusive for purposes of this Award.

Disability. The disability of a Participant (i) such that the Participant is considered disabled under any long term disability plan of the Company, or (ii) as otherwise determined by the Committee.

Disability.
