Disability. Disability as defined under the Sears long-term disability plan.

Disability. That the Participant is, for physical or mental reasons, with or without reasonable accommodation, unable to perform the essential functions of Participant's duties to the Company or any Subsidiary for one hundred twenty (120) consecutive days, or one hundred eighty (180) days during any twelve-month period. Disability. Optionee is permanently and totally disabled within the meaning of Section 422(c)(6) of the Internal Revenue Code of 1986, as amended, which, as of the date hereof, shall mean that Optionee is unable to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment which can be expected to result in death or which has lasted or can be expected to last for a continuous period of not less than 12 months. Disability. Means total and permanent disability as determined by the Compensation Committee and/or the Board pursuant to Code section 22(e)(3).

Disability. Your permanent disability as defined in your Individual Agreement. Disability. Disability as defined for purposes of Section 409A of the Code. The Disability determination shall be in the sole discretion of the Committee and a Participant (or his representative) shall furnish the Committee with medical evidence documenting the Participant's disability or infirmity which is satisfactory to the Committee

Disability. Any physical or mental disability or infirmity that prevents the performance of Employee's duties for a period of (i) ninety (90) consecutive days or (ii) one hundred twenty (120) non-consecutive days during any twelve (12) month period. Any question as to the existence, extent or potentiality of Employee's Disability upon which Employee and Company cannot agree shall be determined by a qualified, independent physician timely selected by Employee in good faith and approved by the Company.

Disability.
