Disability. Disability. With respect to a Optionholder, the inability of such Optionholder to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than 12 months, as provided in Section 22(e)(3) and 409A(a)(2)(c)(i) of the Code

Disability. The Executive's physical or mental disability that prevents the Executive from satisfactorily performing the normal duties and responsibilities of the Executive's office in the good faith determination of the Committee for a period of more than one hundred twenty (120) consecutive days
Disability. For purposes of this Agreement, Disability means, by reason of any medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than twelve (12) months, or receipt by Executive of income replacement benefits for a period of not less than three (3) months under an applicable disability benefit plan of the Company.
Disability. Shall be defined as provided in the Holder's Employment Agreement with the Company dated January 13, 2006, as the same may be amended from time to time, or if expired or superceded, by the then effective employment agreement between Holder and the Company.
