Disability

Disability. Means a Qualifying Director's termination of service as a director of the Company due to physical or mental incapacity of long duration which renders such person unable to perform the duties of a director of the Company.

Disability. A medically-determinable condition of a permanent nature which, as determined by the Committee, renders a Participant incapable of fulfilling the duties and responsibilities that the Participant was performing for the Company, its Subsidiaries and Affiliates immediately prior to the on-set of such condition

Disability. With respect to a Nonemployee Director, the inability to perform the duties of a Director for a continuous period of more than three months by reason of any medically determinable physical or mental impairment

Disability. That the Executive shall, in the opinion of an independent physician selected by agreement between the Company and the Executive, become so physically or mentally incapacitated that he is unable to perform the duties of his employment for an aggregate of 180 days in any 365 day consecutive period or for a continuous period of six (6) consecutive months

Disability. Shall mean that the Executive has been or will be unable to substantially perform his duties under this Agreement for a period of twelve (12) or more consecutive months due to illness, accident or other physical or mental incapacity as certified by an approved Company physician; or is certified by an approved Company physician as being permanently disabled due to illness, accident, or other physical or mental incapacity from performing all or substantially all of the duties under this Agreement.

Disability. Shall have the meaning ascribed to such term in the Company's governing long-term disability plan, or if no such plan exists, at the sole discretion of the Board.

Disability. The Participant's incapacity due to physical or mental illness to perform his or her full-time duties with the Company for a continuous period of three months or an aggregate of six months in any eighteen-month period

Disability. A disability as defined under the Employer's applicable long-term disability program

Disability. Those circumstances under which the Executive is determined to be eligible to receive disability benefits under the Company's long-term disability plan or program, or, in the absence of such a plan or program, "Disability" will be as defined in Section 22 of the Code.

Disability. The term "disability" as used in this Agreement shall mean Executive's inability, due to a mental or physical condition, to continue to provide services to the Company substantially consistent with past practice for a period of at least ninety (90) consecutive days, as evidenced by a written certification as to such condition from a physician designated by Executive and reasonably acceptable to the Board.
