Disability

Disability. The term "Disability" shall mean a physical or mental incapacity that prevents the Executive from performing the essential functions of the Executive's position hereunder, with or without reasonable accommodation, for a period of one hundred eighty (180) consecutive days or a cumulative total of three hundred (300) days in any period of two consecutive fiscal years of the Company.

Disability. (i) In respect of each Award having an effective date prior to June 20, 2006, 'Disability' means any physical or mental condition that would qualify a Participant for a disability benefit under any long-term disability plan maintained by any Company and applicable to the Participant. (ii) In respect of each Award having an effective date on or after June 20, 2006, 'Disability' has the meaning determined by the Committee and set forth in the applicable Award Certificate.

Disability. The CEO's inability to substantially perform the CEO's duties as required by the CEO's employment with or services to the Company as the result of the CEO's incapacity due to physical or mental illness.

Disability. The CLO's inability to substantially perform the CLO's duties as required by the CLO's employment with or services to the Company as the result of the CLO's incapacity due to physical or mental illness.

Disability. The Employee's inability to substantially perform the Employee's duties as required by the Employee's employment with or services to the Company as the result of the Employee's incapacity due to physical or mental illness.

Disability. Shall, except as may be otherwise determined by the Administrator or required under Code Section 409A or related regulations or other guidance, have the meaning given in any employment agreement, consulting agreement or other similar agreement, if any, to which a Participant is a party, or, if there is no such agreement (or if any such agreement does not address the effect of termination due to disability), "Disability" shall mean the inability to engage in any substantial gainful activity by... reason of any medically determinable physical or mental impairment which can be expected to result in death, or which has lasted or can be expected to last for a continuous period of not less than 12 months. Disability. The inability of a Participant to perform substantially such Participant's duties and responsibilities due to a physical or mental condition that would entitle such Participant to benefits under the Company's Long-Term Disability Plan in effect at the time or, if no such plan is in effect, such condition as would enable the Participant to receive an award for permanent and total disability from the Social Security Administration.

Disability. Disability.
