Disabled. The Optionee's inability to engage in any substantial gainful activity because of a medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than 12 months, or the Optionee's receipt of income replacement benefits for a period of not less than three months under an accident or health plan sponsored by the Company. Disabled. The Employee is disabled and unable to perform the essential functions of his position(s) with or without reasonable accommodation for a period of 180 days (which need not be consecutive) in any twelve (12) month period.
Disabled. A condition due to injury or disease that results in a disability for which the (i) Participant has received a physician's certification of that the disability is a total and permanent disability, or (ii)(a) Participant has received a physician's certification that such disability is expected to last for a continuous period of at least 12 months and (b) the Participant is actually receiving disability payments from the Company or an Affiliate for at least three months.
Disabled. For purposes of this Plan, "Disabled" means any permanent and total disability as defined by Section 22(e)(3) of the Internal Revenue Code of 1986, as amended (the "Code"). The Executive shall be considered Disabled for purposes of this Plan if the Executive is approved for long-term disability benefits under a plan or program maintained by the Company.

Disabled. The meaning set forth under applicable state or federal law, and no reasonable accommodation can be provided without undue hardship to the Company.
Disabled. A mental or physical condition that renders the Employee substantially incapable of performing his duties and obligations under this Agreement, after taking into account provisions for reasonable accommodation, as determined by a medical doctor (such doctor to be mutually determined in good faith by the parties) for four (4) or more consecutive months or for a total of four (4) months during any twelve (12) consecutive months.

If any question shall arise as to whether during any period the Executive is disabled so as to be unable to perform the essential functions of the Executive's then existing position or positions with or without reasonable... accommodation, the Executive may, and at the request of the Company shall, submit to the Company a certification in reasonable detail by a physician selected by the Company to whom the Executive or the Executive's guardian has no reasonable objection as to whether the Executive is so disabled or how long such disability is expected to continue, and such certification shall for the purposes of this Agreement be conclusive of the issue. The Executive shall cooperate with any reasonable request of the physician in connection with such certification. If such question shall arise and the Executive shall fail to submit such certification, the Company's determination of such issue shall be binding on the Executive.
