Permanent Disability

Permanent Disability. As determined in the reasonable discretion of the Board or the duly authorized Committee, a physical or mental condition that permanently renders the Executive incapable of exercising the duties and responsibilities of the position the Executive held immediately prior to any Change of Control.

Permanent Disability. Long-term disability as defined in the Company's employee long-term disability plan

Permanent Disability. The term "Permanent Disability" shall mean that the Participant has been unable, due to physical or mental incapacity, to substantially perform his duties and responsibilities under the Employment Agreement for 180 days out of any 270 consecutive days.

Permanent Disability. The term "Permanent Disability" means a physical or mental condition of the Participant which, as determined by the Committee, in its sole discretion based on all available medical information, would qualify the Participant for benefits under the Company's long-term disability plan as in effect when the determination is made (ignoring the requirements of any waiting period) if the Participant were a participant in such plan (whether or not the Participant actually participates therein).... Notwithstanding the foregoing, if the Company has no long-term disability plan, "Permanent Disability" means a physical or mental condition of the Participant which, as determined by the Committee in its sole discretion based on all available medical information, is expected to continue indefinitely and which renders the Participant incapable of performing any substantial portion of the service required by his or her employer. Permanent Disability. Means that: (a) the Eligible Participant has been incapacitated by bodily injury, illness or disease so as to be prevented thereby from engaging in the performance of such Eligible Participant's duties; (b) such total incapacity shall have continued for a period of six (6) consecutive months; and (c) such incapacity will, in the opinion of a qualified physician, be permanent and continuous during the remainder of such Eligible Participant's life.

Permanent Disability. The Participant shall be considered to be "Permanently Disabled" if he would be treated as "disabled" in accordance with the provisions of Treas. Reg. §1.409A-3(i)(4).

Permanent Disability. Eligibility for long-term disability, worker's compensation or social security disability benefits, where the Employee is not expected to return to work in any occupation.

Permanent Disability. That a Participant has become permanently disabled under any policy of disability income insurance then in force covering employees of the Company.

Permanent Disability. A sickness or disability extending for more than three (3) consecutive months as a result of which the Participant is unable to perform his or her duties for the Company or an affiliate, as applicable, in the required and customary manner and that will continue for not less than an additional three (3) months, as determined by the Company in its sole discretion
