Example Definitions of "Qualifying Termination"
Qualifying Termination. Occurs when there is a Separation that is not a Corporate Qualifying Termination, in circumstances where either: i. the Company has terminated your employment for a reason other than Cause; or ii. you have Voluntarily Resigned from your employment for Good Reason; provided at all times that the termination of your employment is not due to your death or disability;
Qualifying Termination. Means the termination of Optionee's employment as a result of a Termination Without Cause, a Termination For Good Reason, or Optionee's death or Permanent Disability.
Qualifying Termination. (i)an involuntary termination of Executive's employment by Bank (or any successor to Bank after the Change in Control) for reasons other than Cause (and other than on account of Executive's Disability); or (ii)a voluntary termination of employment by Executive for Good Reason.
Qualifying Termination. A termination of the Employee's employment either by the Company without Cause (other than due to the Employee's death, the Employee being Disabled, or the Employee becoming an employee of any direct or indirect successor to the business or assets of the Company, rather than continuing as an employee of the Company, following a Change in Control) or by the Employee for Good Reason.
Qualifying Termination. Means the Executive's Termination Date that occurs on account of (i) death, (ii) Disability, (iii) termination by the Employer without Cause, or (iv) termination by the Executive for Good Reason.
Qualifying Termination. Qualifying Termination. A termination of the Participant's employment with the Company or a subsidiary, as applicable, by the Company or such subsidiary without Cause, or solely with respect to the CEO, by the CEO for Good Reason
Qualifying Termination.
