Example Definitions of "Qualifying Termination"
Qualifying Termination. The Executive's termination of employment by the Company, other than for Cause, or by the Executive for Good Reason. The Executive shall not be eligible for the payments and benefits described in Section 3 if the Executive's employment is terminated by the Company or an Affiliate for Cause, if the Executive terminates other than for Good Reason, or if the Executive's employment terminates due to the Executive's death or disability, even if such termination occurs during the Protection Period.
Qualifying Termination. The termination of an Executive's employment by the Company without Cause
Qualifying Termination. Means either (i) the Company terminates Executive's employment with the Company for a reason other than (A) Cause, (B) Executive's death, or (C) Executive's Disability or (ii) Executive resigns for Good Reason.
Qualifying Termination. Shall have the meaning assigned to such term under the Severance Plan.
Qualifying Termination. With respect to a Participant, means a termination of such Participant's employment (i) by the Company or any Successor Entity (or any of their respective Affiliates) without Cause or (ii) with respect to a Participant who is a party to an individual agreement with the Company or any Successor Entity (or any of their respective Affiliates) that contains a "good reason" or similar definition, by a Participant for Good Reason.
Qualifying Termination. Means a termination of Executive's employment by IAC without Cause (other than as a result of death or Disability) or by Executive for Good Reason.
Qualifying Termination. Means the occurrence of any of the following during the Protection Period: (i) A termination of the Executive's employment by the Employer without Cause; or (ii) Executive's resignation from the Employer with Good Reason. Qualifying Termination. An Eligible Executive's voluntary termination of employment with the Company or a subsidiary of the Company for Good Reason or an involuntary termination of an Eligible Executive's employment with the Company or a subsidiary of the Company without Cause and other than as a result of the Eligible Executive's death or Disability.
