Example Definitions of "Qualifying Termination"
Qualifying Termination. A Termination of Employment that is either: (i) initiated by the Company for any reason other than the Executive's Disability or for Cause; or (ii) initiated by the Executive for Good Reason
Qualifying Termination. The term "Qualifying Termination" means (i) the termination of Executive's employment due to either termination by the Company or Subsidiary without Cause or by Executive for Good Reason and (ii) Executive's last day of employment occurs on or after the Announcement and before the first anniversary of the Change in Control.
