Qualifying Termination. The term 'Qualifying Termination' shall mean the occurrence of the Participant's Date of Termination due to the involuntary termination of the Participant's employment by the Company or a Subsidiary without Cause on or after the occurrence of a Change in Control; provided, however that such termination shall be considered a Qualifying Termination only if the Participant signs and does not revoke a Severance Agreement and Release consistent with Section 6 of the Assured Guaranty Corp. Severance Plan and such release is effective no later than the sixty-day anniversary of the Date of Termination; provided, further, that if the sixty-day period described above during which the Participant may consider signing the release begins in one calendar year and ends in a second calendar year and the Participant would otherwise be entitled to receive a distribution of shares of Stock subject to signing and not revoking such release during such sixty-day period, no distribution of shares of Stock shall be made earlier than the first day of the second calendar year. Qualifying Termination. The term 'Qualifying Termination' means the Participant's Date of Termination that occurs because the Company and/or any of the Related Companies terminates the Participant's employment with the Company and/or the Related Companies without Cause.
