Qualifying Termination. With respect to a Participant

Qualifying Termination. (i) the involuntary termination of your employment by the Company (other than for Cause) or (ii) the voluntary termination of your employment with the Company for Good Reason. Qualifying Termination. Termination of an Eligible Employee's employment with the Company that is either (i) initiated by the Company without Cause or (ii) initiated by the Eligible Employee for Good Reason. Termination due to death or disability shall not be treated as a Qualifying Termination. Qualifying Termination. A termination of the Participant's employment with the Company or a subsidiary of the Company, as applicable, by the Company or such subsidiary, as applicable, without Cause or by the Participant by reason of a Constructive Termination. For the avoidance of doubt, a Death/Disability Termination shall not constitute a Qualifying Termination

Qualifying Termination. Means the involuntary termination by the Company (or, as applicable, its successor) of Grantee's employment as a result of (i) the sale, consolidation or full or partial shutdown of a facility, department or business unit; (ii) a position elimination because of a reorganization or lack of work; or (iii) Grantee's death or Disability.

Qualifying Termination. Shall mean any of the following occurring during the Protection Period: (i) the Company's termination of the Executive's employment other than for Cause or death; (ii) the Company's termination of the Executive's employment by reason of his disability, provided that the Executive was not disabled prior to the Change in Control; (iii) the Executive's termination of employment for Good Reason, or For purposes of this Agreement, the Executive's employment shall be deemed to have been... terminated during the Protection Period, if (A) the Executive's employment is terminated by the Company without Cause prior to a Change in Control (whether or not a Change in Control ever occurs) and such termination was at the request or direction of a Person who has entered into an agreement with the Company the consummation of which would constitute a Change in Control, (B) the Executive terminates his employment for Good Reason prior to a Change in Control (whether or not a Change in Control ever occurs) and the circumstance or event which constitutes Good Reason occurs at the request or direction of a Person who has entered into an agreement with the Company the consummation of which would constitute a Change in Control, or (C) the Executive's employment is terminated by the Company without Cause or by the Executive for Good Reason and such termination or the circumstance or event which constitutes Good Reason is otherwise in connection with or in anticipation of a Change in Control (whether or not a Change in Control ever occurs). Qualifying Termination. The termination of your employment (i) by the Company for a reason other than Cause, (ii) by you for Good Reason, or (iii) due to your death or Disability.
