Sublicensee

Sublicensee. Any person or entity (including any Affiliate) to which any of the license rights granted to the Licensee hereunder are granted a sublicense or an option to a sublicense, but not including any subcontractors or vendors provided that Licensee is responsible for performance of such subcontractors in compliance with this Agreement and that such subcontractors or vendors do not provide any cash or in-kind consideration to Licensee in exchange for Patent Rights.

Sublicensee. A sublicensee to whom Lepu has sublicensed any of its rights to Develop and/or Commercialize (e.g., without limitation, the right to sell or offer to sell) Products pursuant to Section 3.2.
