Example Definitions of "Bonus"
Bonus. The right of a Participant to receive a cash payment under this Plan
Bonus. The greater of (i) the bonus, if any, paid to Executive in the year prior to the Qualifying Termination, (ii) the bonus, if any, paid to Executive in the year prior to the Change in Control, or (iii) the Executive's target bonus at the time of the Change in Control.
Bonus. With respect to an eligible Participant upon a Liquidation Event or Redemption, the amount payable to such eligible Participant under Section 3 of the Plan
Bonus. A conditional right to receive cash performance-based bonus compensation that may be awarded under the Plan by the Committee to a Participant and which may be subject to such terms, conditions, restrictions, and/or limitations, if any, as the Committee may establish. The Committee may require a Participant to execute an acknowledgement regarding the Bonus (and its terms and conditions) as a condition of providing the Participant with a Bonus opportunity.
Bonus. An amount equal to the bonus earned by a Participant for a Plan Year under the Company's Annual Incentive Compensation Plan or such other annual bonus plan or program that may then be applicable to a Participant and shall exclude any amounts paid pursuant to a severance program or policy of the Employer. Nothing herein guarantees a Bonus payment to a Participant. The determination of a Participant's Bonus shall be governed by the policies of the Employer.
Bonus. The short-term incentive cash bonus, if any, awarded to the Executive (generally during the first quarter of the Plan Year) for services performed during the preceding Plan Year from the Bank.
Bonus. Shall mean the higher of: (i) an amount determined by multiplying (A) Executive's annual base salary in effect immediately prior to the Change in Control giving rise to the obligation of Employer to make any payment under this Agreement by (B) a percentage that is the average percentage of such base salary represented by the annual bonus paid to Executive in the three full calendar years of employment immediately preceding the date of such Change in Control (or if Executive was employed by... Employer for less than three full calendar years prior to such Change in Control, such shorter period as Executive was employed by Employer prior to such Change in Control) or (ii) an amount determined by multiplying (A) the Executive's highest annual base salary in effect after the occurrence of the Change in Control giving rise to an obligation on the part of Employer to make any payment under this Agreement but prior to termination of employment under the circumstances described in Section 1 by (B) the highest percentage of Executive's annual base salary represented by any annual bonus received by Executive following the occurrence of such Change in Control giving rise to an obligation on the part of Employer to make any payment under this Agreement. Bonus. The Executive's contemplated annual incentive payment for the year of Termination calculated using the then current percentage of base salary as defined in the Company's files. The initial percentage will be fifty percent (50%) as provided for in Section 5(c)
Bonus. Any one or a combination of an Asset Sale Bonus, a Financing Bonus, or an M&A Bonus.
