Example Definitions of "Compensation"
Compensation. Shall mean all base straight time gross earnings, including payments for sick pay, vacation pay, holiday pay, bonuses, commissions and other compensation, but excluding car allowance, lead pay, SPIFFs, jury duty pay, bereavement pay, shift premium, overtime pay and executive incentive compensation-(MIP).
Compensation. Shall mean all cash salary, wages, commissions and bonuses, but shall not include any imputed income or income arising from the exercise or disposition of equity compensation.
Compensation. Means regular base pay and variable compensation for sales personnel and shall exclude other compensation, including bonuses.
Compensation. Unless otherwise determined by the Board of Directors, means total cash compensation from employment reportable on Form W-2 including, without limitation, regular straight-time gross earnings, overtime pay, shift premium, incentive compensation, bonuses, commissions and automobile allowances.
Compensation. As used in this Agreement shall mean only base salary and annual performance bonus. Stock options and other remuneration are not considered "compensation" as the term is used in this Agreement.

Compensation. Shall mean the greater of: (i) Executive's annual salary plus his Average Bonus immediately prior to the date on which a Change of Control occurs, or (ii) Executive's annual salary plus his Average Bonus at the time of his Involuntary Termination.
Compensation. Shall mean the compensation amount which is reportable as the "Wages, Tips and other Compensation' box on the Employee's Form W-2 for the Plan Year. Notwithstanding the foregoing sentence however, Compensation shall exclude any amount not paid as cash compensation during the Plan Year and any compensation received as an employee of an Employer prior to the Company acquiring a controlling ownership interest in the Employer.
Compensation. Means the earnings received by an Employee from the Company, a Designated Subsidiary or a Designated Foreign Subsidiary as determined by the Administration Committee in a manner intended to comply with the requirements of Section 423 of the Code and the Treasury Regulations promulgated thereunder.
Compensation. Means all compensation that is payable to a Director in cash or stock, whether as annual retainer, for attendance at Board or committee meetings, for service in committee positions or otherwise, but excluding amounts reimbursed for expenses.
