Example Definitions of "Disability"
Disability. Means the permanent and total disability of the Participant as determined by the Committee.
Disability. Unless otherwise defined in an employment agreement between the Participant and the Company, (a) if applicable, total and permanent disability in accordance with the Company's long-term disability plan or (b) if no long term-disability plan is in effect, permanent and total disability within the meaning of Section 22(e)(3) of the Code, in each case as determined by the Committee in its discretion
Disability. Termination by the Company of Timmins' employment based on "Disability" shall mean termination because of Timmins' absence from his duties with the Company on a full-time basis for one hundred fifty (150) consecutive days, as a result of his incapacity due to physical or mental illness, unless within thirty (30) days after Notice of Termination (as defined in Section 7.4) is given following such absence Timmins shall have returned to the full-time performance of his duties.
Disability. Any medically determinable physical or mental impairment that has lasted, or is reasonably expected to last, for a period of at least six (6) months, can reasonably be expected to be permanent or of indefinite duration, and renders the Participant unable to perform his duties hereunder, as certified by a physician jointly selected by the Company and the Participant or the Participant's legal representative
Disability. The term "Disability" shall have the meaning set forth in the Plan.
Disability. A total and permanent disability as defined in Section 22(e)(3) of the Code, as determined in writing by a licensed health-care practitioner jointly selected by the Board and the Executive.
Disability. Shall mean, unless otherwise defined in an Award Agreement, for purposes of the exercise of an Incentive Stock Option, a permanent and total disability, within the meaning of Code Section 22(e)(3), and for all other purposes, the Participant's inability to perform the duties of his or her position with the Company or any Related Entity by reason of any medically determinable physical or mental impairment that can be expected to result in death or can be expected to last for a continuous period... of not less than twelve (12) months. Disability. That the Participant is unable to carry out the responsibilities and functions of the position held by Participant by reason of any medically determinable physical or mental impairment for a period of not less than ninety (90) consecutive days
Disability. The Participant is considered "disabled" as such term is defined in Treasury Regulation Section 1.409A-3(i)(4) and any successor provision thereto. In the event the Participant's employment terminates due to death or Disability, the Corporation shall pay to the Participant (i) the Accrued Obligations and (ii) the Other Benefits (each, as defined in Section 4 below)
